These Terms of Service govern your use of this website and the aerial lift truck service bay operated by BPFL SERVICES LLC at 4414 N Shady Hollow Loop, Lehi - 84043-2344, United States (US). By browsing our pages, submitting a service request, or engaging our team for inspection, hydraulic service, certification or repair work, you agree to the terms set out below. Please read them carefully, because they describe the rights and the responsibilities that apply to both you and to us.
Acceptance of These Terms
These Terms of Service form a binding agreement between you and BPFL SERVICES LLC. When you use this website, submit a service request, accept a quote, or authorize work on a machine, you confirm that you accept these terms in full. If you do not accept them, you should not use the website or engage our bay services.
These terms apply together with any written service agreement, purchase order or work authorization that we may sign with you. Where a signed agreement conflicts with these terms, the signed agreement governs for that service relationship. Nothing in these terms limits a right that applicable law does not allow us to limit, and nothing in these terms requires you to waive a protection that the law guarantees.
Eligibility and Authority
You may use this website and our services if you are at least the age of majority in your jurisdiction and you have the legal capacity to enter into a contract. If you use our services on behalf of a company or another organization, you confirm that you have the authority to bind that organization to these terms, and reference to you includes that organization.
You agree to provide accurate information when you contact us, and to keep that information current. If you submit a service request for a machine that you do not own or control, you confirm that you are authorized to arrange service for that machine and to receive information about its condition and its records.
Description of Services
BPFL SERVICES LLC operates an aerial lift truck service bay. Our services include aerial lift inspection, hydraulic system service, fleet maintenance scheduling, load path certification, operator training support and emergency repair dispatch. Each service is performed by a qualified technician at our Lehi yard, and each service produces a written record that becomes part of the machine file.
We may add, change or retire a service over time as equipment and standards evolve. We will describe the scope of a service when we quote it, and any material limitation will be recorded on the work authorization before the work begins. A service that is performed alongside another service may share a bay slot and a record, and we will explain the arrangement when we schedule it.
Scheduling and Bay Slots
Bay slots are limited and are allocated in the order that requests reach our dispatch desk. When you schedule a slot, you agree to deliver the machine at the agreed time with the information we need, including its model, unit number and a description of the issue. If a machine arrives late or without the required information, we may need to reschedule the work.
If we must move a scheduled slot because of an emergency repair dispatch, a parts delay or an event beyond our control, we will contact you as soon as we can and offer the nearest available alternative. We do not guarantee a specific completion time for emergency work, because the condition of a machine is often not known until it is in the bay.
Your Responsibilities
You are responsible for the safe delivery of the machine to our yard and for disclosing any known defect, damage or hazard that could affect the work. You must tell us about any prior repair, modification or accident that may bear on the structure or the hydraulic system. Withholding relevant information can create a safety risk and may affect the validity of a certification.
You are responsible for removing personal property from the machine before it enters the bay, and for securing any equipment that is not part of the service. You agree not to operate a machine after we have placed it out of service until the required repair or certification has been completed and released by our team.
Estimates and Authorization
We provide an estimate before we begin work, based on the information available at the time. An estimate is a good faith projection, not a fixed price, because a machine may reveal additional problems once it is inspected. If the scope of work must change, we will seek your authorization before we proceed with the additional work.
You may authorize additional work by email, by telephone or in writing, and we will record the authorization in the machine file. If we cannot reach you and a repair is necessary to return the machine to a safe condition, we may perform the minimum work needed to make the machine safe and hold it until we receive your instructions.
Payment and Billing
Payment terms are stated on the invoice that accompanies each service. Unless we have agreed to account terms in writing, payment is due when the work is complete and the machine is released. We may require a deposit for parts or for work that carries a significant material cost.
Invoices that remain unpaid beyond their stated terms may be subject to a late charge where the law permits, and we may withhold the release of a machine or a certification record until an outstanding balance is settled. If you dispute an invoice, please contact us promptly with the details, and we will review the charge before taking further steps.
Certification Records
A certification record reflects the condition of a machine on the date it was inspected and tested. It is tied to the unit, the date and the scope of work performed, and it is not a guarantee that the machine will remain in that condition after it leaves the bay. Any modification, damage or repair performed by another party after certification may affect the validity of the record.
We store certification records as described in our Privacy Policy, and we release them to the owner or the authorized fleet manager of the machine. If a record is required by an inspector or an insurer, we can provide a copy on request. A record that is altered or presented out of context does not represent our finding, and we are not responsible for a decision made on the basis of a misrepresented record.
Safety and Operation
Safety is the primary consideration at our bay, and it governs how we schedule and perform work. We may refuse to work on a machine that presents an immediate hazard, and we may stop work if a condition emerges that endangers a technician or the public. In such a case we will explain the concern and the options available to you.
You agree to operate every machine in accordance with the manufacturer instructions and the applicable safety standards, and to ensure that only trained and authorized personnel use the equipment. Our operator training support is designed to assist your own training program; it does not transfer responsibility for the safe operation of your fleet to us.
Warranty and Disclaimers
We perform our services with reasonable skill and care and in line with accepted industry practice. We warrant the workmanship of the services we provide for a period stated on the work authorization. This warranty does not cover damage caused by misuse, neglect, an accident, an unauthorized repair, or a part that you supplied.
Except as expressly stated, our website and its content are provided on an as available basis, and we disclaim any implied warranty to the fullest extent the law allows. We do not warrant that the website will be uninterrupted or free of error, and we do not warrant that a machine will operate without failure after a repair, because mechanical systems can fail in ways that no inspection can foresee.
Limitation of Liability
To the fullest extent permitted by law, BPFL SERVICES LLC is not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, or loss of business opportunity, arising from your use of the website or from a service we performed. Our total liability for a claim relating to a service is limited to the amount you paid for that service.
This limitation does not apply to a liability that the law does not allow us to limit, and it does not apply to our own gross negligence or willful misconduct. Some jurisdictions do not permit certain limitations, so a part of this section may not apply to you, and the remaining parts will continue in effect.
Indemnification
You agree to indemnify and hold harmless BPFL SERVICES LLC, its officers, employees and technicians from any claim, loss, liability or expense, including reasonable legal fees, that arises from your breach of these terms, your misuse of a machine or of our website, or your failure to disclose information that is relevant to a service. This obligation continues after the service relationship ends.
We will notify you promptly of any claim that falls within this section, and we may participate in the defense of the claim with counsel of our choosing. You may not settle a claim in a way that imposes an obligation on us without our written consent.
Intellectual Property
The content of this website, including its text, its layout, its graphics and the design of its pages, is owned by BPFL SERVICES LLC and is protected by applicable intellectual property law. You may view and print a page for your own reference, but you may not copy, republish or distribute our content for commercial purposes without our written permission.
Certification records and inspection findings that we create for your machine are provided to you for the purpose of operating and maintaining that machine. You may share a record with an inspector, an insurer or a buyer of the machine. You may not alter a record or present it as the work of another provider.
Acceptable Website Use
You agree to use this website in a lawful manner and not to interfere with its operation. You must not attempt to gain unauthorized access to the site, its server or any connected system, and you must not introduce a virus, a harmful code or an automated tool that places an unreasonable load on our infrastructure.
You must not submit false information, impersonate another person, or use the contact form to send unsolicited commercial messages. We may block access to the site, remove content and report unlawful activity to the relevant authorities when we have reason to believe that a rule in this section has been broken.
Third Party Content
Our website may reference or link to content that is owned by a third party, such as a manufacturer manual or a regulatory standard. We provide such references for convenience and we do not control the linked content. We are not responsible for the accuracy or the availability of third party content, and a reference does not imply that the third party endorses our services.
If you believe that content on our site infringes a right that you hold, please contact us with the details and we will review the matter promptly. We will remove or correct content where the law requires it.
Termination of Service
We may suspend or end the service relationship if you breach these terms, if a machine presents a repeated safety concern, or if an outstanding balance is not settled. Where it is practical to do so, we will give you notice and an opportunity to address the issue before we take that step.
You may end the service relationship at any time by telling us in writing, provided that you settle any outstanding balance and arrange for the collection of a machine that is in our yard. Sections of these terms that by their nature should survive termination, including liability, indemnity and intellectual property, will continue to apply.
Governing Law and Disputes
These terms are governed by the laws of the State of Utah in the United States, without regard to its conflict of law rules. If a dispute arises from these terms or from a service we performed, we encourage you to contact us first so that we can resolve the matter directly. Many concerns can be settled with a conversation and a review of the machine record.
If a dispute cannot be resolved informally, it will be brought in a court of competent jurisdiction located in Utah, and each party consents to the jurisdiction of that court. Before pursuing a formal claim, the parties agree to attempt a good faith discussion, and to consider mediation where the amount in dispute makes it practical.
Changes to These Terms
We may update these Terms of Service from time to time to reflect changes in our services, our practices or the law. When we make a material change, we will revise the date shown with these terms and, where appropriate, provide a more prominent notice on the website. The terms that apply to a specific service are the terms in effect on the date the service is performed.
Your continued use of the website or your continued engagement of our services after an update takes effect indicates that you accept the revised terms. If you do not agree with a change, you may contact us to discuss it, and you may stop using the website or the related services.
Machine Delivery and Collection
When a machine is delivered to our yard, it passes into our custody for the duration of the work. We take reasonable care of every unit in the bay, and we store it in a secure area while it awaits a part or a decision from you. We are not responsible for personal property left inside a machine, and we are not responsible for a loss that results from a failure to remove valuables before delivery.
Once the work is complete and the balance is settled, the machine is released to you or to a person you designate in writing. If a machine is not collected within a reasonable period after we notify you that it is ready, we may apply a storage charge where the law allows, and we may exercise any lien that the law provides. We will always attempt to reach you before taking such a step.
Delay and Events Beyond Control
We are not liable for a delay or a failure to perform that is caused by an event beyond our reasonable control. Such events may include a natural disaster, a severe weather event, a power outage, a supplier failure, a transport disruption, a labor dispute or an act of a public authority. When such an event affects a scheduled service, we will notify you and work with you to set a new date.
An event of this kind does not excuse a payment obligation that has already come due for work that we completed. Where an event beyond our control prevents us from performing a service at all, we will return any deposit that you paid for that service, less the cost of any parts that cannot be returned to the supplier.
Notices Between the Parties
We may send a notice to the email address or the telephone number that you provide when you open a service relationship. You agree to keep those contact details current, because a notice that we send to the last address you provided is treated as delivered. Please tell us promptly if your email address, your telephone number or your billing contact changes.
You may send a formal notice to us at BPFL SERVICES LLC, 4414 N Shady Hollow Loop, Lehi - 84043-2344, United States (US), or by email to sales@bpflservices.buzz. A notice that concerns a legal claim should also be sent to our postal address so that it reaches the person responsible for such matters.
Assignment and Third Party Beneficiaries
You may not assign your rights under these terms without our written consent. We may assign our rights and obligations to an affiliate or to a successor in connection with a reorganization, a merger or a sale of our business or its assets. Any assignment by us will not reduce the level of protection that these terms provide to you.
These terms do not create a right in any person who is not a party to them, except that our officers, employees and technicians may rely on the sections that limit liability and provide indemnity. Nothing in these terms creates a partnership, a joint venture or an agency relationship between you and us.
Severability and Waiver
If a provision of these terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force. The parties intend that the remainder of the agreement reflect their original intent as closely as the law allows.
A failure by either party to enforce a provision of these terms is not a waiver of that provision, and it does not prevent that party from enforcing it later. A waiver is effective only when it is given in writing and signed by the party granting it, and it applies only to the specific instance described in the writing.
Entire Agreement
These terms, together with any signed service agreement and any work authorization that we issue, form the entire agreement between you and BPFL SERVICES LLC on the subject of our website and our bay services. They replace any prior discussion, proposal or understanding on the same subject, whether written or spoken.
If the subject of a service is also covered by a separate signed contract, that contract controls where the two documents conflict, and these terms fill any gap that the contract leaves open. A statement made by a technician during a conversation does not change these terms unless it is confirmed in writing by an authorized representative of the company.
